SPAR NIGERIA LOYALTY REWARD PROGRAM TERMS AND CONDITIONS

These terms and conditions apply to the SPAR Nigeria Loyalty Reward Program (the “Program”). Shop in participating SPAR Nigeria outlets and earn points in accordance with these terms and conditions. These terms and conditions replace any previous terms and conditions provided to you with respect to the Program. By signing, activating or using your Card, you are accepting these terms and conditions.

1. Definitions

The following expressions appearing in capital letters in these Terms and Conditions shall have the meanings hereby assigned to them unless specified otherwise.

Expressions Meaning
“Card” means the reward card issued to the Participant (in physical or electronic form) and assigning a unique number in the form of a barcode or QR code intended to be used for collection and redemption of points pursuant to the Program

“Enrolment Form” means an application form to participate in the Program in accordance

with these Terms and Conditions as same may be modified from time to time

“Organiser” means Artee Industries Limited (Trading as SPAR), having its corporate office at 58, Town Planning way, Ilupeju, Lagos State,

Nigeria

“Participant” means a Cardholder

“Participant’s Account” means an account established for a Participant in accordance with the terms and conditions of the Program

“Participating Store” means selected SPAR stores in Nigeria which may from time to time

be modified at the complete discretion of SPAR

“Program” means SPAR Loyalty Reward Program, a loyalty program designed to reward loyal customers of SPAR in accordance with the Terms and Conditions set out herein.

“Site” means http://www.sparnigeria.com

2. The Program

The Program is valid for only Participating Stores (a list of all Participating Stores can be found at http://www.sparnigeria.com.

Persons may join the Program at any time of its duration. Enrolment forms are available at SPAR outlets and online at http://www.sparnigeria.com. Applicants shall ensure they diligently fill and complete the enrolment form and submit to the customer service desk in a Participating Store or in accordance with the online instructions. Applicants may be required to activate their Cards by responding to an email or SMS activation request. Upon such request, activation of the Cards shall not be complete until the Applicant responds to the email or SMS activation request.

Enrolment forms filled illegibly, incompletely, unsigned or without Card number will not be activated.

By submitting the completed and signed off enrolment form, the Participant agrees to the use of the Participant’s personal data by SPAR.

The Program may be discontinued or suspended at any time, at the discretion of, and on terms prescribed by SPAR.

3. Eligibility

All Participants of the Program must be adults, with full legal capacity and resident in Nigeria. Employees of Organiser are barred from participating in the Program.

4. The SPAR Loyalty Reward Cards

SPAR Loyalty Reward Cards are used to identify the Participants in the Program and for the registration of points earned by Participants. Each Card has a unique number assigned to a particular Participant. The Card is valid until further notice throughout the duration of the Program.

Each Participant in the Program shall have only one active Card at any given time. Participants with more than one active Card are required to consolidate them into one active Card by visiting the reward card desk at any of the Participating Stores. In any case where a Participant has more than one Card, SPAR has the right to revoke all Cards held by the Participant if they have not been consolidated.

SPAR has a right to deactivate any Card that has been inactive for period of two (2) years. Any points accumulated on such Cards will be lost.

The Card is not transferable and at all times remains the property of SPAR. The Card is neither a credit card nor a debit card. Loyalty points cannot be transferred from one Participant to another. Participants found deliberately using their Card through a third party/on behalf of sales made through another customer will have their Card revoked by SPAR.

5. Earning Points under the Program

The Program offers a unique package to reward Participants for shopping with SPAR Nigeria. Subject to these terms and conditions, Participants receive one (1) loyalty point for every Two Hundred Naira (N200) spent in a Participating Store. One (1) loyalty point is equal to One Naira (N1.00).

Loyalty points are calculated on the aggregate amount of the Participant’s purchases, before taxes. Loyalty points will not be awarded for the purchase of items already on sale or discounted as a result of a special promotion being offered by the Participating Store. Loyalty points are rounded down to the nearest One Naira increment and any remaining amount will be disregarded and will not be accumulated or included in the calculation of your loyalty points.

To earn points, a Participant must present his/her Card to the cashier prior to completing a purchase at a Participating Store, or scan the electronic version of the card from the mobile application. The Card which must be valid, scanned and read at the cashier’s point of sale terminal. Loyalty points will only be earned on completed purchases.

Where a Cardholder returns anything purchased for which points were earned, there will be a deduction of the credit balance in the Card by the equivalent amount of the loyalty points originally received on the purchase.

SPAR has the exclusive right to determine which goods or services are covered by the program, and the number of points to be awarded to the Participants account for their purchase of goods or services.

Loyalty points collected by the Participant shall be valid for a period of 24 months, from the quarter of crediting year to the Participant’s Card. After which, any points not redeemed for purchases are considered expired.

6. Use of Loyalty Points

Cardholders may use their loyalty points when they accumulate up to 500 points on their Cards in any of the Participating Stores. Loyalty points may be used to pay for items in Participating Stores or fund part of

a purchase in a Participating Store. Loyalty points shall however not be awarded on any purchase using the Cards.

Once the loyalty points are redeemed, same amount of loyalty points are deducted from Participant’s account.

Cash redemption of loyalty points is not permitted.

7. Statements

A statement showing the number of loyalty points available on a Card will be made available in any format determined by SPAR.

SPAR reserves the right to adjust the balance on a Card if the Card was improperly credited or otherwise in accordance with these terms and conditions. SPAR’s records of loyalty points earned and redeemed will be final, conclusive and binding on the Participants.

8. Privacy Policy
SPAR is committed to protecting the privacy of Participants. Personal data provided during enrolment is voluntary but necessary for participation in the Program. By accepting these Terms and Conditions, the Participants gives SPAR permission to retain personal data collected, to create a profile for Participants and to use such data for market research, customer analyses and other lawful purposes.

The privacy of all Participants is paramount, hence, a formidable safeguard has been put in place to keep all personal data secured. SPAR will use reasonable endeavours to ensure that information provided by the Participant is not accessed, disclosed, altered or destroyed by unauthorised persons. However, SPAR cannot guarantee that information may not be accessed, disclosed, altered or destroyed as a result of a breach of (or glitch in) any of our technical, physical, or strategic management safeguards.

In some instances, SPAR may share Participants information with third parties engaged by SPAR to that help provide services to customers for the purposes of improving a Participant’s SPAR shopping experience and or Site (e.g., the company that analyses SPAR’s loyalty data). Participants agree to grant the third parties the same rights and authorisation granted to the SPAR under this Privacy Policy.

Participants undertake to hold SPAR harmless from any liability that it may otherwise have in relation to or arising out of the actions of the 3rd parties.

E-mails sent to (and received from) SPAR are not encrypted and may be monitored. Participants are advised to refrain from sending sensitive confidential or personal information via e-mail.

SPAR may, where required by law, release Participants’ information to any government authority as may be requested.

Participants are advised to immediately notify SPAR of any change in their personal data and shall bear all the consequences of the absence of such notice.

9. Use of Information

SPAR may use Participants information to –

  • enhance or improve Participants experience, its Site or the Program
  • send emails about its Site or Program or respond to enquires
  • send emails and updates about SPAR, including newsletters, notification of amendments to these Terms and Conditions
  • perform any other function that it believes in good faith is necessary to protect the security or proper functioning of its Site

10. Intellectual Property

SPAR relies on the uniqueness of its Site and content to distinguish itself from third party competitors. Participants agree not to copy, distribute, display, disseminate, or otherwise reproduce any of the information on the Site, including content licensed to SPAR by third parties, without receiving our prior written permission.

11. Termination of Loyalty Card/Membership/Program
SPAR may terminate or suspend the Program at any time, for any reason or no reason. In cases of indefinite suspension or termination of the Program, SPAR shall notify already existing Participants either by announcing such information in the Participating Stores, its’ website or by other means of communicating with the Participants. The Participants will be entitled to redeem the accumulated loyalty points within 30 days from the date of such indefinite suspension or termination, after which the Loyalty points shall terminate and the Participants shall not be entitled to redeem any accumulated points. Where however SPAR intends to replace the Program with another program, SPAR may offer Participants membership or participatory rights in the new loyalty programs in exchange for their loyalty points in the Program.

SPAR may also terminate any person’s right to participation in the Program at any time, at its sole discretion without providing any explanation for such termination and without any liability or obligation to such person.

Where a Participant requests that its information be deleted, any agreement such Participant has with SPAR in respect of the Program or any other reward program, shall be terminated automatically.

12. Loss and Replacement of Card
In cases of damage, loss or theft of the Card, Participants must inform SPAR by either reporting to any customer service desk located at any of the Participating Stores or write to customercare@sparnigeria.com or call SPAR Hotline Number, which is available on the website, or within the loyalty mobile application. The Participant may make a written request or send an email requesting for a replacement. Upon replacement, the Participant losses all points previously earned on the damaged, lost or stolen Card.

The process of replacement is the same as the process of enrolling for a new Card.

13. Representation and Warranties
The Organiser makes no representations or warranties of any kind, express or implied, in any matters relating to the Program. Participants undertake to indemnify and hold Organiser harmless from any liability that it may otherwise have in relation to or arising from this Program for reasons, otherwise than as a result of fraud.

14. Amendment

SPAR may alter or amend these Terms and Conditions or the Program from time to time by publishing notices in its different locations or via email to Participants. Participants’ hereby waive any rights they may have to accede to any such changes.

15. Disclaimer and Jurisdiction

No decision of SPAR to refrain from exercising or enforcing, or failure to exercise or enforce, its rights under any provision of these Terms and Conditions shall constitute a waiver thereof, or a waiver of the right of SPAR to enforce any other provision of this Agreement, and no waiver by SPAR of any violation of any provision or stipulation of this Agreement shall be deemed to be a waiver of any violation of any other provision or stipulation thereof.

In the event that a provision of the General Terms and Conditions should be wholly or partially legally invalid, void or for any other reason not enforceable, this provision shall be deemed to be severable from the general terms and conditions, and shall not influence the validity and enforceability of the remaining provisions.

These Terms and Conditions and all rights under same shall be governed by and in accordance with the laws of the Federal Republic of Nigeria. In the event of any dispute, the Nigerian courts shall have exclusive jurisdiction.
